Web SEO Consult

Terms of service

Last updated:

These terms govern the provision of the search engine optimisation (SEO) consultancy services offered by Jose Ramon Acosta Montesino, owner of webseoconsult.com, referred to below as the Consultant.

Services are provided remotely and include, depending on what is agreed in each case, technical and content audits, local SEO and Google Business Profile work, technical SEO, content and on-page optimisation, ecommerce SEO, multilingual and international SEO, and ongoing monthly support.

These terms are completed by the written proposal accepted by both parties for each engagement. Where the two conflict, what is expressly agreed in that proposal prevails.

The services are offered to companies, partnerships, self-employed practitioners and professionals contracting in the course of their business, trade or profession. By accepting a proposal, the Client confirms that it is contracting in that capacity and has the authority to do so.

The Client will supply the billing details required, including its name, registered address and tax identification number, and will notify any change to them.

These services are not directed at individuals contracting outside a business, trade or profession. If, however, a service were contracted with someone who qualifies as a consumer under the Spanish consolidated Consumer and User Protection Act, the distance contract regime would apply to them.

In that case the pre-contractual information required by that legislation, including information on the right of withdrawal and the model withdrawal form, will be provided in writing before the contract is concluded.

Where a consumer expressly requests that performance begin during the withdrawal period, that request will be recorded together with their acknowledgement that, once the service has been fully performed, the right of withdrawal is lost, in accordance with article 103 of that Act. If a consumer withdraws after performance has begun, they will pay an amount proportionate to the service actually provided up to that point.

Nothing is contracted through the website. The usual process is: first contact by phone, email or the form; a conversation to understand the case; a written proposal setting out scope, deliverables, timing and price; and the Client’s express acceptance of that proposal, by email or by signature.

The price bands published on the website are indicative and for information only. They are not a binding offer or a quotation and do not bind the Consultant. The price that applies is only the one stated in the written proposal accepted by both parties.

The Consultant may decline an engagement, in particular where the work requested is not technically viable, where the outcome the Client expects cannot be reached by the means proposed, or where the Client’s activity is incompatible with search engine guidelines or with applicable law.

All prices published on the website and stated in proposals are exclusive of tax.

The Consultant is established in the Canary Islands, so invoices are subject to IGIC (Impuesto General Indirecto Canario, the Canary Islands general indirect tax) rather than mainland Spanish VAT. The rate applied is the one in force when the invoice is issued.

The tax treatment of transactions with clients located outside the Canary Islands may differ depending on the rules applicable to each case. This is clarified in writing with the Client before work begins. Nothing in this section constitutes tax advice.

Prices exclude third-party costs that must be contracted separately, such as tool licences in the Client’s name, hosting, templates, paid plugins, translation, photography, or advertising spend.

Payment is made by bank transfer to the account shown on the invoice, unless the accepted proposal specifies another method.

Unless the proposal states otherwise, one-off work such as an audit or a set-up task is invoiced partly on acceptance of the proposal and the balance on delivery; recurring monthly services are invoiced monthly, at the start of each period.

Non-payment or late payment of a due invoice entitles the Consultant to suspend the service, after notifying the Client, until the position is regularised, without prejudice to the late payment interest that applies by law to commercial transactions.

Recurring services are contracted by calendar month and renew month by month. There is no minimum contract term.

Either party may end a recurring service by giving written notice before the start of the next monthly period. The current month is invoiced in full and the work committed within it is completed as normal.

For information and without contractual effect, the Consultant recommends allowing at least three months before judging the work, given how long search engines take to reflect changes. That recommendation creates no minimum term.

One-off work is treated as complete on delivery of the agreed deliverable. If the Client cancels one-off work that has already started, the Consultant may invoice in proportion to the work carried out up to the date of the notice.

The Client will provide, within a reasonable time, the access needed to deliver the service: the website administration panel, the server or hosting where relevant, Google Search Console, analytics tools and the Google Business Profile. Those accounts will be created and remain in the Client’s name, with delegated access granted to the Consultant that the Client may revoke at any time.

The Client is responsible for the accuracy and lawfulness of, and for holding the rights to, the content, images, data and materials it supplies, and for complying with the rules that govern its own activity.

The Client will nominate a contact with authority to review and approve deliverables, and will respond to approval requests within a reasonable time. Implementing recommendations that require a third party, such as a development agency or a platform provider, is the Client’s responsibility unless the proposal expressly says otherwise.

Delays caused by missing access, content or approvals are not a breach by the Consultant and may move agreed timings.

The services are an obligation of means, not of result. The Consultant undertakes to apply proper professional care and the methods described in the proposal; not to achieve any particular ranking position, traffic volume, number of enquiries or level of sales.

Search engine outcomes depend on the algorithms, criteria and decisions of third parties outside the Consultant’s control and subject to change without notice, as well as on competitor activity, the sector, the product, and factors within the Client’s own business. Accordingly, no specific ranking position is guaranteed, nor any particular timescale for reaching one, nor the retention of positions once reached.

The Consultant does not use techniques contrary to search engine guidelines. Buying links, artificially generating popularity signals, and any practice liable to attract a manual action or an algorithmic penalty are excluded.

Any timing estimates given are indicative and expressed as typical ranges, not as commitments to an outcome.

Reports, audits, copy, structures, specifications and other deliverables produced specifically for the Client become the Client’s property once the corresponding amount has been paid in full, and may be used without restriction for the Client’s own activity.

The Consultant retains ownership of his methodology, working templates, internal procedures and general technical know-how, and may continue to use them with other clients. None of that includes confidential information or the Client’s data.

Accounts, profiles and licences created in the Client’s name are and remain the Client’s, including after the service ends.

Both parties will keep confidential any non-public information they access in connection with the service, during the relationship and after it ends.

The Consultant is liable for loss actually caused by failure to meet his obligations. Except where the law does not permit such a limit, total liability is limited to the amount the Client has actually paid for the service giving rise to the claim.

There is no liability for loss of profit, loss of commercial opportunity or indirect loss, nor for the effects of changes to search engine algorithms, third-party changes to the Client’s website, failures of the Client’s hosting or platform, or the non-implementation of recommendations delivered.

Nothing in this document excludes or limits liability for wilful misconduct or gross negligence, or any other liability that applicable law states cannot be excluded.

The handling of the contact details the Client provides is governed by Privacy policy.

Where the work involves the Consultant accessing personal data for which the Client is the controller — data held in its platform or its analytics tools, for instance — the parties will enter into the corresponding data processing agreement under article 28 of Regulation (EU) 2016/679 before that access begins.

The Consultant may amend these terms for future engagements. The version that applies to an engagement is the one published on the date its proposal was accepted.

Amendments do not affect engagements already accepted and under way, unless both parties expressly agree otherwise.

These terms are governed by Spanish law.

Any dispute between the Consultant and a Client contracting in the course of its business, trade or profession shall be submitted to the courts of the Consultant’s domicile, both parties expressly waiving any other jurisdiction.

This is without prejudice to any mandatory rule that applies and to the jurisdiction that Spanish consumer law confers on those who qualify as consumers.
